COPYRIGHT POLICY

Effective date: September 2025

Noir (“Noir”, “we”, “us”, “our”) respects the intellectual property rights of others and expects all users, members, and Noirators to do the same. This Copyright Policy explains how copyright works on the Noirators Site (we-are-noir.com) and the Noir Member Platform (explore-noir.com), and sets out our procedures for reporting and responding to copyright violations.

By using Noir, you agree to comply with this policy.

 

1. Ownership of Content

  1. Noir Content
    All materials published by Noir — including but not limited to text, logos, graphics, design, branding, layouts, databases, and software — are owned by Noir or licensed to Noir and are protected by copyright, database rights, and intellectual property laws worldwide. You may not reproduce, distribute, or adapt any Noir-owned content without prior written consent.

  2. Noirator Content
    Content uploaded, published, or provided by Noirators remains the intellectual property of the Noirator, subject to the licensing terms granted to Noir in the Noirator Terms & Conditions.

  3. Member Content
    Any content created by members (e.g., posts, comments, messages) remains their property, but members grant Noir a licence to use it as necessary for the operation of the platform.

 

2. Prohibited Use

 

You may not:

  • Copy, download, record, share, or redistribute Noirator content or Member Platform content without permission.

  • Reproduce Noir-owned branding, logos, or assets without approval.

  • Circumvent security or digital rights management technologies.

  • Claim Noir, Noirator, or member content as your own.

  • Upload content that you do not own or have rights to.

 

Violations of this policy will result in suspension, termination, and potential legal action.

 

3. Reporting Copyright Infringement (Takedown Procedure)

If you believe that your copyright-protected work has been copied, shared, or used on Noir without your authorisation, please send a written notice (“Copyright Complaint”) to Noir’s designated copyright agent:

Your complaint must include:

  1. A description of the copyrighted work you claim has been infringed.

  2. The URL or specific location of the allegedly infringing material on Noir.

  3. A statement confirming that you believe in good faith that the use is not authorised by you, your agent, or the law.

  4. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on the owner’s behalf.

  5. Your full legal name, address, telephone number, and electronic or physical signature.

 

4. Counter-Notification Procedure

If you believe that material you uploaded was removed in error, you may submit a Counter-Notification to Noir’s copyright agent. Your counter-notice must include:

  1. Identification of the material removed and its previous location.

  2. A statement, under penalty of perjury, that you believe the removal was due to mistake or misidentification.

  3. Your name, address, phone number, and consent to the jurisdiction of the courts in England & Wales (or your jurisdiction if outside the UK/EU).

  4. Your electronic or physical signature.

 

Upon receipt of a valid counter-notice, we may restore the material unless the copyright owner initiates legal action.

 

5. Repeat Infringers

Noir operates a strict repeat infringer policy. Any user or Noirator found to have committed repeated or serious copyright infringements will have their account suspended or permanently terminated. Noirators may also forfeit outstanding payouts where infringements are proven.

 

6. Misuse of Policy

Submitting false or misleading copyright complaints or counter-notices may result in account suspension, legal liability, and reporting to relevant authorities.

 

7. Educational & Fair Use

Noir supports fair dealing/fair use exceptions (e.g., criticism, research, review, parody, commentary, or education). However, the burden of proving fair use lies with the user or Noirator who uploads the material.

 

8. Reservation of Rights

Noir reserves the right to:

  • Remove or disable access to allegedly infringing content without notice.

  • Disclose user details to copyright owners where legally required.

  • Pursue legal remedies for unauthorised use of Noir’s intellectual property.

 

9. Changes to This Policy

We may update this Copyright Policy at any time. Updates will be posted here and, where required, communicated to users and Noirators.
