
TERMS AND CONDITIONS

These Terms & Conditions (“Terms”) govern your use of the Noirators website located at we-are-noir.com (the “Noirators Site”) and your relationship with Noir (the “Company”, “we”, “us” or “Noir”) in respect of registering, applying for, participating in, or otherwise engaging as a Noirator (an expert, content creator, advisor or contributor).
Please read these Terms carefully. By accessing or using the Noirators Site or applying to become (or acting as) a Noirator, you agree to be bound by these Terms. If you do not agree, do not use this Site and do not apply.
Note: The Noirators Site is the dedicated hub for recruitment, community and resources for Noirators and is separate from the main member platform explore-noir.com (the “Member Platform”) and from any personal author brand (including Saffron Noir). Where content, monetisation or payments occur via the Member Platform, these Terms still govern the relationship between you and Noir unless a separate agreement is signed.
1. Definitions
In these Terms:

Noirator means an individual or organisation accepted by Noir to provide content, expertise, services or workshops to Noir members or to participate in the Noirator community.

Content means any text, images, audio, video, live session, workshop, course material, guides, templates or other material you create or upload via the Noirators Site or for the Member Platform.

Application means the form you submit to apply to become a Noirator.

Noirator Hub or Community Hub means the members-only area, forum, chat or resource library available to approved Noirators.

Payouts means sums paid to you by Noir in respect of paid Content, less any commission or fees.
2. Eligibility & Application

18+ Requirement. You must be at least 18 years old (or the legal age of majority in your jurisdiction) to apply or participate. By applying you confirm you meet this requirement.

Application Process. Submit an Application at we-are-noir.com/becomeanoirator/apply with accurate information. Applications are subject to verification and approval by Noir in our sole discretion.

Verification & Vetting. Noir may perform identity, background, accreditation, qualification or credential checks and may request further documentation (e.g., professional licences, references). Approval is conditional on satisfactory checks.

No Guarantee of Acceptance. Submission of an Application does not guarantee acceptance as a Noirator. Noir reserves the right to accept or reject any Application without providing a reason.
3. Accounts, Access & Security

Account Creation. Approved Noirators will receive account credentials for the Noirator Hub. Keep credentials secure and notify Noir immediately of any unauthorised use.

Accurate Information. Maintain accurate and up-to-date account, payment and tax information. You are responsible for any loss or liability from incorrect information.

Access Control. Noir may suspend or revoke access where there is suspected fraud, security risk, breach of these Terms, or on notice. Repeated security failures may lead to permanent removal.
4. Your Responsibilities & Conduct

Professional Conduct. You must act professionally and in a manner consistent with Noir’s brand, values and community standards. Treat members and fellow Noirators with respect.

No Illegal or Harmful Content. You must not produce or share Content that is illegal, exploitative, non-consensual, involves minors, bestiality, or otherwise violates applicable laws. Content that depicts or encourages sexual violence or exploitation is strictly prohibited.

Consent & Clear Disclaimers. Where Content engages with sexual themes, you must ensure the Content is consensual and accompanied by appropriate disclaimers and safety guidance when required. If giving health, clinical or therapeutic advice you must hold appropriate qualifications and clearly state the limits of your advice.

No Circumvention. You must not solicit Noir members to pay you directly or otherwise to bypass Noir’s systems in order to avoid Noir’s commission on paid Content. Directing traffic to your own free content or public social channels is permitted, but monetisation of Member Platform content outside Noir without prior written agreement is prohibited.

Confidentiality & Member Data. You must not collect, store, share, or publish member personal data obtained through Noir, except as expressly permitted and in compliance with Noir’s Privacy Policy and applicable data protection laws. Do not disclose private messages or sensitive member details.

Insurance & Qualifications. If offering professional services (therapy, counselling, medical/clinical services), you must maintain appropriate professional indemnity and regulatory compliance and supply proof on request.
5. Content: Ownership & License

Ownership. You retain ownership of Content you create, except where you have assigned rights under a separate agreement.

License to Noir. By submitting or publishing Content via the Noirators Site or for the Member Platform you grant Noir a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to use, reproduce, publish, distribute, adapt, display and otherwise exploit the Content for the purposes of operating, marketing and promoting Noir (including promotional materials, newsletters, social posts and the Member Platform). This licence continues during the Term and for a reasonable promotional period thereafter, unless otherwise agreed in writing.

Promotional Use. You also grant Noir the right to use your name, professional title, biographical material, image or likeness for promotional and marketing purposes in connection with Noir’s services.

Moral Rights & Attribution. To the extent permissible, you waive any moral rights that would prevent Noir from exercising the rights granted above. Noir will endeavour to give reasonable attribution to you where practicable.

Third-Party Rights. You must secure all rights, consents and licences necessary for Noir’s use of the Content and must not include third-party copyrighted material without permission.
6. Content Standards, Moderation & Removal

Standards. All Content must comply with applicable laws, community standards and these Terms.

Moderation. Noir reserves the right to review, remove, restrict or refuse to publish Content at any time and without notice if it reasonably believes Content violates these Terms, is inappropriate or otherwise harmful.

Take-Down Requests & Copyright. If you believe your copyright has been infringed on the Noirators Site, follow Noir’s DMCA/copyright procedure (see Section 18). Noir will respond and take action as appropriate.

Member Interaction. You must not contact members in a way that breaches Noir’s policies (spam, harassment, persistent unsolicited contact). Noir may suspend your privileges for violations.
7. Revenue, Commission & Payments

General. Where you provide paid Content through Noir’s Member Platform, Noir will collect payments from members and pay you Payouts less Noir’s commission, in accordance with the agreed revenue model.

Launch Commission. At launch, Noir’s standard commission is 25% of gross sales of paid Content. Noir may change commission rates for new agreements; current Noirators will receive reasonable notice of any changes.

Payouts & Schedule. Payouts will be calculated monthly and disbursed within 30 calendar days after the end of the month in which receipts were collected, subject to verification, applicable reversals and withholding for refunds or chargebacks.

Minimum Payout & Method. Noir may set a minimum payout threshold (£50) and supported payout methods (e.g., bank transfer, PayPal). If you have less than the minimum, amounts will roll over to the next payout period unless otherwise agreed.

Refunds & Chargebacks. Noir handles refunds and chargebacks in accordance with Member Platform policies. If a refund or chargeback reduces previously paid amounts, Noir reserves the right to recover the shortfall from future Payouts or by invoicing you.

Fees & Currency. Payouts are made in the currency determined by Noir. Any bank or transfer fees are your responsibility unless otherwise stated. Noir may deduct applicable fees from your Payouts.

Taxes. You are responsible for reporting and paying all applicable taxes relating to payments received. Noir may request tax documentation (e.g., VAT, W-8/W-9) and may withhold or report payments as required by law.

Disputes about Payments. Raise any dispute about payment calculations within 60 days of the relevant payment date. After that period the calculation will be final unless exceptional circumstances apply.
8. Non-Circumvention & External Promotion

Permitted Cross-Promotion. Noirators are encouraged to promote their Noir profile and public free content on their external channels (websites, socials). Noir supports Noirators growing their own audiences.

No Circumvention of Paid Sales. You must not solicit or induce Noir members to purchase paid Content or services directly from you outside Noir in order to avoid Noir’s commission. This includes persuading members to subscribe to paid programs off-platform if the same product is offered via Noir.

Tracking & Affiliate Opportunities. Noir may offer affiliate or referral programmes. Terms for such programmes will be provided separately.
9. Privacy & Data Protection

Processing of Personal Data. Noir will process your personal data in accordance with its Privacy Policy. By applying and participating you consent to that processing.

Member Data. Members’ personal data is confidential; you may only process or store member data as expressly authorised and in compliance with applicable data protection laws (including GDPR where applicable).

Security. You must use reasonable technical and organisational measures to protect any personal data you process and must notify Noir promptly of any data breach involving member data.
10. Representations & Warranties
You represent and warrant that:

You have full power and authority to enter into and perform these Terms.

All Content you upload is your original work, or you have obtained all necessary rights, releases and permissions.

Your Content and performance of services do not and will not violate any law, third-party right, contractual obligation or professional regulation.

You will comply with applicable laws, professional standards, and the rules in these Terms.
11. Indemnity
You will indemnify, defend and hold harmless Noir, its officers, directors, employees and agents from and against any losses, claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from:

Your breach of these Terms;

Any claim that your Content infringes a third party’s intellectual property or rights;

Your negligent, unlawful or fraudulent acts.
12. Disclaimers & Limitation of Liability

No Professional Advice. Unless explicitly agreed in writing, Content on the Noirators Site and Member Platform is for informational purposes only and does not constitute medical, legal, psychological or other professional advice.

No Warranties. To the maximum extent permitted by law, Noir provides the Noirators Site and services “as is” and disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Limitation of Liability. Except where liability cannot be excluded by law, Noir’s liability to you for any claim arising out of or in connection with these Terms is limited to direct losses up to the total amount of commissions paid to Noir by you in the preceding 3 months, or £1,000 (one thousand pounds), whichever is greater. Noir will not be liable for indirect, special, incidental or consequential losses, loss of profit, revenue or data.
13. Termination & Suspension

Termination by You. You may stop being a Noirator and close your account by giving written notice to Noir. Any outstanding Payouts will be handled per Section 7.

Termination by Noir. Noir may suspend or terminate your access immediately if you breach these Terms, present a safety risk, engage in fraudulent or illegal activity, or for any other material reason at Noir’s discretion.

Effect of Termination. On termination:

Your access to the Noirator Hub and unpublished Content will cease.

Noir may remove your Content from the Noirators Site or Member Platform.

Noir may continue to use and display previously published Content for marketing/promotional purposes in accordance with the licence granted in Section 5, unless otherwise agreed.

Any outstanding Payouts will be paid subject to adjustments for refunds/chargebacks and Noir’s right of set-off.

14. Remedies & Enforcement
Noir may take any measures it considers necessary to enforce these Terms, protect members or the business, and comply with legal obligations, including technical measures, account suspension, content removal, cooperating with law enforcement and pursuing legal remedies.
15. Intellectual Property & Brand Use

Trademark Usage. Noirators may use the “Noirator” badge, brand assets or the Company logo only in accordance with Noir’s brand guidelines and subject to approval. Noir may revoke any permission to use its trademarks at any time.

Your Trademarks. You may display your own trademarks subject to not implying any ownership or endorsement beyond the relationship permitted in these Terms.
16. DMCA / Copyright Complaints
If you believe your copyright has been infringed on the Noirators Site, submit a DMCA takedown notice as set out in our Copyright Policy containing the information required by applicable law. Noir will respond in accordance with applicable law.
17. Changes to These Terms
Noir may amend these Terms from time to time. We will post updated Terms on the Site and provide notice by email to registered Noirators where required by law. Continued participation after posting constitutes acceptance of the amended Terms. Material changes will be notified reasonably in advance where practicable.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of England & Wales. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the courts of England & Wales, save that Noir may seek injunctive relief in any court of competent jurisdiction.

All notices, requests or other communications to Noir under these Terms should be sent to:

Notices to you will be sent to the email address you provide on application or your account and will be deemed delivered on sending.
20. Miscellaneous

Severability. If any provision of these Terms is held invalid, the remainder will continue in full force.

Entire Agreement. These Terms, together with any separate written agreements and the Noir Privacy Policy, constitute the entire agreement between you and Noir concerning the subject matter.

Assignment. You may not assign your rights under these Terms without Noir’s prior written consent. Noir may assign or transfer its rights and obligations.

Third-Party Rights. No third party has rights under these Terms unless expressly provided.

These Terms are intentionally comprehensive to protect the community, members and your professional reputation as a Noirator.
By applying to become, or by participating as, a Noirator you confirm that you have read, understood and agree to be bound by these Terms.
